Acceptance of Terms
By accessing and using Miyabi Resonance's platform and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These terms constitute a legally binding agreement between you and Miyabi Resonance, governing your use of our educational platform, lessons, and related services.
Service Description
Miyabi Resonance provides online and in-person traditional Japanese music education, including lessons in gagaku, shō, koto, and shamisen. Our services include live instruction, digital resources, instrument sales and rentals, and performance booking.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, though we will make reasonable efforts to provide advance notice of significant changes.
User Accounts and Registration
To access certain features of our platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 13 years old to create an account. Users under 18 require parental consent to use our services and make purchases.
Payment Terms and Billing
Lesson fees, instrument purchases, and subscription charges are due in advance according to the payment schedule you select. We accept various payment methods and use secure third-party payment processors to handle transactions.
All prices are subject to change with reasonable notice. Refunds are provided according to our refund policy, which varies by service type and is detailed in your enrollment agreement.
Lesson Policies and Attendance
Students are expected to attend scheduled lessons punctually and come prepared. Cancellations must be made at least 24 hours in advance to avoid charges. Make-up lessons may be available at the instructor's discretion.
We reserve the right to terminate lessons for non-payment, disruptive behavior, or violation of our community guidelines.
Intellectual Property Rights
All content on our platform, including lesson materials, scores, recordings, and instructional videos, is protected by copyright and other intellectual property laws. You may use these materials solely for your personal educational purposes.
You may not reproduce, distribute, modify, or create derivative works from our content without explicit written permission.
User Conduct and Community Guidelines
Users must conduct themselves respectfully and professionally in all interactions with instructors, staff, and other students. Harassment, discrimination, or disruptive behavior will not be tolerated.
You agree not to use our platform for any unlawful purpose or in any way that could damage, disable, or impair our services or interfere with other users' enjoyment of our platform.
Instrument Sales and Rentals
Instruments sold through our marketplace are subject to specific terms regarding authenticity, condition, and return policies. Rental instruments must be returned in good condition, and renters are responsible for damage beyond normal wear.
We provide detailed condition reports and authenticity certificates for all instruments. Shipping and insurance costs are additional unless otherwise specified.
Digital Content and Licensing
Access to our digital library and audio archive is provided under limited license for personal or educational use. Commercial use requires separate licensing agreements and additional fees.
Downloaded content remains our property and may not be shared, redistributed, or used for commercial purposes without explicit permission.
Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference.
By using our services, you consent to the collection and use of your information as described in our Privacy Policy.
Limitation of Liability
To the maximum extent permitted by law, Miyabi Resonance shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising from these terms or your use of our services shall not exceed the amount you paid to us in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Miyabi Resonance, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
This indemnification obligation survives termination of your account and these terms.
Dispute Resolution
Any disputes arising from these terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the Japan Commercial Arbitration Association, conducted in Tokyo, Japan.
You waive any right to participate in class action lawsuits or class-wide arbitration against us.
Governing Law
These terms are governed by the laws of Japan, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts of Tokyo, Japan.
If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Termination
Either party may terminate this agreement at any time with appropriate notice. We reserve the right to immediately terminate accounts for violation of these terms or for any conduct that we deem harmful to our community or business.
Upon termination, your access to our services will cease, though certain provisions of these terms shall survive termination.
